TERMS AND CONDITIONS OF SALE

1. Acceptance of Terms

By accepting a quotation, estimate, or placing an order with Unifica Design Paraguay E.A.S., the client agrees to these terms and conditions. Any additional terms proposed by the client will be null and void unless agreed upon in writing by both parties.

2. Payments

  • Invoice payments must be made as follows: 50% upfront at the time of budget approval to commence services and development, and the remaining 50% upon final delivery of all quoted items, unless other payment terms have been explicitly agreed upon.
  • Payment tolerance is 15 days from the due date. After this period, Unifica Design Paraguay E.A.S. reserves the right to suspend all services until payment is regularized.
  • If payment is not received within 60 days, we reserve the right to engage a debt collection agency, and the client will bear all associated costs.
  • The prices indicated do not include taxes or withholding applicable in the client’s country. Any withholding tax must be paid by the client.

3. Service Provision

  • We commit to delivering our services with the highest diligence and quality within the agreed timeframes.
  • However, Unifica Design Paraguay E.A.S. does not guarantee specific results and is not responsible for any losses due to delays or incidents beyond its control.
  • Our liability is strictly limited to correcting errors or defects in the services provided, unless an agreed maintenance period has been established in writing, in which case our responsibility will extend accordingly.

4. Intellectual Property

  • All developments, designs, software, source code, and any other services provided remain the exclusive property of Unifica Design Paraguay E.A.S., unless expressly agreed otherwise in writing.
  • If the client wishes to acquire ownership rights over any development or source code, this must be negotiated and reflected in an additional contract specifying the terms of the intellectual property transfer.
  • In the absence of a specific agreement, the client receives only a usage license for the delivered product or service, without this implying any transfer of intellectual property rights.

5. Claims and Returns

  • Any claim must be submitted in writing within 5 business days following the delivery of the product or service.
  • No returns or cancellations will be accepted once the work has begun unless otherwise agreed in writing by both parties.

6. Confidentiality

  • Strict Confidentiality Agreement: Both parties agree that all confidential information, business data, strategies, software, designs, technical documents, and any related intellectual property shared during the collaboration shall remain strictly confidential and shall not be disclosed to third parties without prior written consent.
  • Scope of Confidentiality: This includes, but is not limited to, business processes, trade secrets, proprietary technology, client lists, financial information, marketing strategies, and any other sensitive information shared during the engagement.
  • Protection of Data: The client and Unifica Design Paraguay E.A.S. must take all reasonable measures to ensure that confidential information is not copied, distributed, or leaked, including the use of secured storage, access restrictions, and encrypted communication where applicable.
  • Non-Disclosure Period: Confidentiality obligations remain in force indefinitely, even after the termination of the business relationship, unless otherwise required by law.
  • Breach of Confidentiality: Any breach of confidentiality by the client or any affiliated third party may result in legal action and/or financial penalties to compensate for damages caused.

7. Applicable Law and Jurisdiction

  • Any dispute arising from these terms and conditions shall be governed by the laws of the Republic of Paraguay.
  • Both parties agree to submit to the jurisdiction of the courts in Asunción, Paraguay.
